Terms of Service

Please read these Terms of Service ("Terms", or "Terms of Service") carefully before using the pm-os.io website and the PM-OS product management platform (the "Service") operated by PM-OS ("us", "we", "our" or "PM-OS").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. You may be referred to herein as the "Customer", "You", or as a "Permitted User" as the context requires. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access or use the Service.

1. Customer Account

When you create an account with us, you must provide us with accurate, complete, and current information at all times (the "Account").

Only authorized employees, agents, and contractors with paid subscriptions may access your Account (each a "Permitted User" and collectively the "Permitted Users"). You acknowledge and agree: (i) to keep and ensure that Permitted Users keep all Account login details and passwords secure at all times; and (ii) to notify us in writing as soon as reasonably practicable if you become aware of any unauthorized access or use of your Account or the Service. You are responsible for ensuring that Permitted Users comply with these Terms and you shall be responsible for any breach of these Terms by any Permitted User.

You agree not to disclose your password to any third party. You are responsible for safeguarding the password you use to access the Service and for any activities or actions performed under your password, whether your password is used with our Service or a third-party service provider. You may not use an Account name that: (i) belongs to another person or entity; (ii) is not lawfully available for use; (iii) is a trademark subject to rights of another person or entity without appropriate authorization; or (iv) is otherwise offensive, vulgar, or obscene.

2. Subscriptions

The Service is billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing Cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

Upon your registration and payment for a Subscription, we grant you a non-exclusive, non-transferable, limited license to access and use the Service during the applicable subscription term, as specified on the payment page. This license is granted solely for your internal business purposes and is conditioned upon your full compliance with these Terms, including, without limitation, timely and complete payment of all applicable subscription fees.

3. Restrictions on Use

You shall access the Service only via the PM-OS designated web portal or API, in connection with your Account. You must not, and shall not allow any Permitted User or any other third party to: (i) circumvent, disable, or otherwise interfere with security-related features of the Service or features that enforce limitations on the use of the Service; (ii) violate or abuse password protections governing access to the Service; (iii) allow any third party to use the Service except as permitted herein; (iv) sell, rent, lease, license, or timeshare the Service or use it in any service bureau arrangement; (v) copy, modify, reverse engineer, decompile, disassemble, or derive, or attempt to derive, the source code of the Service or any components thereof; (vi) use the Service to develop a competing service or product; (vii) use any automated means to access the Service except as expressly permitted; (viii) interfere or attempt to interfere with the integrity or proper working of the Service; (ix) access, store, distribute, or transmit during the course of its use of the Service any malicious code or unlawful, threatening, obscene, or infringing material; (x) use the Service in a manner that would violate applicable data privacy laws or for any other unlawful purpose; and/or (xi) use the Service in any other unlawful manner or in breach of these Terms. For the purposes of these Terms, "Malicious Code" means software viruses, Trojan horses, worms, malware, or other computer instructions, devices, or techniques that erase data or programming, infect, disrupt, damage, disable, or shut down a computer system or any component of such computer system.

4. Payment Terms

4.1. Free Trial

PM-OS may, at its sole discretion, offer a Subscription with a free trial for a limited period of time ("Free Trial"). You may be required to enter your billing information to sign up for the Free Trial. If you do enter your billing information when signing up for the Free Trial, you will not be charged by PM-OS until the Free Trial has expired. On the last day of the Free Trial period, unless you cancel your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected.

At any time and without notice, PM-OS reserves the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free Trial offer.

4.2. Billing

If you have elected to purchase a paid Subscription, at the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel your Subscription or PM-OS cancels it, in accordance with Section 8 below. You may cancel your Subscription renewal either through your online account management page or by contacting the PM-OS customer support team at sales@pm-os.io.

A valid payment method is required to process the payment for your Subscription. You must provide PM-OS with accurate and complete billing information. By submitting such payment information, you automatically authorize PM-OS to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, PM-OS will issue an electronic invoice indicating that you must proceed manually, within a specified deadline, with the full payment corresponding to the billing period as indicated on the invoice.

4.3. Fee Changes

PM-OS may, in its sole discretion and at any time, modify the Subscription fees. Any such changes will take effect upon the commencement of the subsequent Billing Cycle following notice of the fee modification.

PM-OS will provide you with reasonable prior notice of any change in Subscription fees, affording you the opportunity to terminate your Subscription before such changes take effect.

Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

4.4. Refunds

Specific refund requests for Subscriptions may be considered by PM-OS on a case-by-case basis and granted at the sole discretion of PM-OS.

4.5. Professional Services

If you require any professional services, these shall be subject to a specific statement of work and payment terms, which must be agreed upon in writing between us. If you are interested in receiving such professional services, please contact us at sales@pm-os.io.

5. Customer Data and Content

While using the Service, you may choose to provide, upload, import, transmit, post, or make accessible to PM-OS certain data pertaining to you or your Permitted Users (the "Customer Data"). You hereby grant PM-OS a non-exclusive license to use, process, display, copy, and store the Customer Data to provide the Service to you. We undertake to implement industry-standard security procedures to protect Customer Data during the term of your Subscription. Any information you provide to us, and your use of information available on our website, is governed by our Privacy Policy, which is incorporated herein by reference. We do not sell or rent your personal information to third parties for their marketing purposes without your express consent. You acknowledge and agree that you are solely responsible for the accuracy and content of Customer Data.

Our Service further allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("Content"). When posting Content to the Service, you retain any and all of your rights to any Content you submit, post, or display on or through the Service, and you are responsible for protecting those rights.

By providing us Customer Data or Content, you represent and warrant that: (i) you have obtained all rights required under any applicable laws to provide PM-OS with the right to use such Customer Data and Content as detailed above; (ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person; and (iii) you will use the Service in compliance with any applicable laws, including without limitation any applicable privacy protection laws.

6. Processing User Requests with AI and LLM Partners

To enable generative AI capabilities within the Service ("AI Agent"), PM-OS may share information you provide through direct upload, manual input, or third-party integrations with large language model partners ("LLM Partners"). By using our Service and submitting requests, you agree to have your information submitted to PM-OS's LLM Partners to provide context when generating a response. PM-OS will not share your personal information in its complete form with any other organization, including our LLM Partners, except as necessary to provide the Service. You are solely responsible for, and hereby represent and warrant to PM-OS, that all information you submit to the AI Agent is accurate, current, and lawfully provided by you, with all necessary rights and clearances, free of any third-party claims. PM-OS shall not bear any responsibility for output received from the AI Agent in reliance on information that breaches the foregoing warranty.

7. Copyright Policy

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on the Service infringes the copyright or other intellectual property rights of any person. If you are a copyright owner, or authorized on behalf of one, and you believe that copyrighted work has been copied in a way that constitutes copyright infringement through the Service, please send a notice to legal@pm-os.io containing: your contact details; a description of the copyrighted work; the location or description of the allegedly infringing content on our Service; a good-faith statement that you believe the use is unauthorized; a statement under penalty of perjury that your information is accurate; a statement that you are the copyright owner or authorized to act on their behalf; and your electronic or physical signature.

8. Termination

8.1. Customer Termination

You may terminate your Subscription by providing written notice as follows: (i) for monthly subscriptions, at least 14 days prior to your next renewal date; and (ii) for annual subscriptions, at least 30 days prior to your next renewal date. Simply stopping your use of the Service does not constitute termination and does not entitle you to a refund for any unused portion of your Subscription term.

8.2. Termination by PM-OS

We may terminate your account: (i) for convenience upon 30 days' written notice, in which case we will refund the prorated amount for any unutilized portion of your then-current Subscription term; or (ii) immediately without prior notice if you breach these Terms, including without limitation if you fail to provide information that is accurate, complete, and current, or breach any of the restrictions on use contained herein.

8.3. Effect of Termination

Termination becomes effective at the end of the applicable notice period, except in cases of breach where termination is immediate. Upon termination, your right to use the Service will cease as of the effective termination date. Except as expressly provided herein regarding refunds for convenience terminations, you shall not be entitled to receive any reimbursement for fees previously paid to us.

9. Disclaimer of Warranty

BY SUBSCRIBING TO OUR SERVICE, YOU ACKNOWLEDGE AND AGREE THAT, UNLESS EXPRESSLY STATED OTHERWISE IN THIS AGREEMENT AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

9.1. THE SERVICE AND ANY RELATED REPORTS OR OUTPUTS ("REPORTS") ARE PROVIDED "AS IS", WITHOUT ANY WARRANTIES REGARDING THEIR INSTALLATION, USE, ACCURACY, OR PERFORMANCE; AND

9.2. ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, ARE DISCLAIMED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SYSTEM INTEGRATION, NON-INTERFERENCE, RELIABILITY, AND QUALITY.

TO THE EXTENT PERMISSIBLE BY APPLICABLE LAWS, PM-OS DOES NOT REPRESENT, GUARANTEE, OR WARRANT THAT ANY REPORTS, CONTENT, OR INFORMATION YOU ACCESS THROUGH USE OF THE SERVICE WILL BE COMPLETE, ACCURATE, ERROR-FREE, OR SUITABLE FOR YOUR SPECIFIC NEEDS. THE REPORTS DO NOT CONSTITUTE LEGAL ADVICE. YOUR USE OF THE SERVICE AND RELIANCE ON ANY REPORTS IS ENTIRELY AT YOUR OWN DISCRETION AND RISK.

10. Limitation of Liability

In no event shall PM-OS, nor its shareholders, directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content.

NOTWITHSTANDING THE ABOVE, IF A PARTY HERETO IS FOUND TO BE LIABLE BY A FINAL JUDICIAL RULING, SUCH PARTY'S LIABILITY TO THE OTHER PARTY HERETO OR TO ANY THIRD PARTY IS LIMITED TO THE CONSIDERATION ACTUALLY PAID TO PM-OS HEREUNDER DURING THE TWELVE (12) MONTHS PERIOD PRECEDING THE INDEMNIFIABLE EVENT.

11. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are licensed and not sold to you. All intellectual property rights in and to the Service, and any related content and documentation provided or made available by PM-OS hereunder, are and shall remain the exclusive property of PM-OS and its licensors. PM-OS and its licensors reserve all rights not expressly granted in these Terms.

Any feedback, recommendations, comments, or suggestions related to the Service ("Feedback") that you may provide to PM-OS will be solely owned by PM-OS. You hereby irrevocably assign and transfer any intellectual property rights in such Feedback to PM-OS, free of charge.

As between you and PM-OS, the intellectual property rights in Customer Data and Content are and shall remain your and your licensors' exclusive property. Except as expressly set forth herein, nothing in these Terms shall be construed as transferring any rights in such Customer Data to PM-OS or to any third party.

12. Linking to Other Websites

Our Service may contain links to third-party websites or services that are not owned or controlled by PM-OS. PM-OS has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that PM-OS shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

14. Dispute Resolution

The parties agree that good-faith informal efforts to resolve disputes can, in most cases, offer the most timely and efficient way to resolve disagreements. Before initiating any formal dispute resolution, we ask that you contact us at legal@pm-os.io and allow us to attempt to reach a mutually agreeable solution with you.

If we cannot informally resolve your complaint, you and PM-OS agree that the competent courts of Delaware, United States, shall have exclusive jurisdiction with respect to any dispute or action arising under or in relation to these Terms. YOU AND PM-OS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 10 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after these revisions take effect, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
